Terms of Service

1. Agreement to Terms
By accessing or subscribing to the services provided by Dataout ("Service", "we", "us"), you ("Client", "Merchant") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
2. Scope of Service
Dataout delivers managed data engineering, analytics pipelines, and automated reporting dashboards for e-commerce platforms. The Service extracts transactional and cost records via read-only APIs, transforms them using automated pipelines, and serves reports via hosted dashboard interfaces or structured data exports.
3. Non-Advisory and Accounting Disclaimer
Dataout is a data engineering and business intelligence software service. Dataout is not a Certified Public Accountant (CPA) firm, registered investment advisor, or legal counsel. The reports, payout reconciliations, and margin models generated by the Service are computational tools designed to support internal operations. Client remains solely responsible for its own financial statements, official accounting entries, tax filings, and legal compliance.
4. Client Obligations
To facilitate the Service, Client agrees to:
- Provide read-only API access tokens and connector permissions necessary for data ingestion.
- Ensure accuracy and timeliness of merchant-supplied inputs, including Cost of Goods Sold (COGS) files.
- Maintain confidentiality of access credentials issued to authorized merchant personnel.
5. Fees and Payment
Service fees, setup charges, and billing cycles are specified in the applicable Order Form or subscription tier. Subscriptions are billed monthly in advance in USD. Invoices must be settled via accepted payment methods within 15 days of issuance.
6. Intellectual Property and Data Ownership
Client retains all ownership, title, and interest in and to all raw data ingested into the Service. Dataout retains all intellectual property rights in the underlying pipeline infrastructure, transformation logic, schema definitions, and dashboard templates.
7. Termination
Either party may terminate the Service agreement upon thirty (30) days written notice. Upon termination, Client access to hosted dashboards is revoked, and all stored client data is expunged in accordance with our Privacy Policy.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Dataout shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Service. Dataout's cumulative liability shall not exceed the total fees paid by Client in the preceding three (3) months.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
